The MCS group can provide advice and assist with projects in all major business areas: merger, acquisition, sale, or purchase of business; business counsel, expansion, and turn-around. Contact us to learn more.
Merger, Acquisition, Sale, or Purchase of Business
The MCS group has a history of successful business acquisitions and dispositions. This experience has honed the group’s abilities to evaluate pending decisions to generate tax and contractual recommendations and to negotiate sharply for success. How and when to turn this largest single asset into a liquid equity cash and cash equivalents may be the most important decision an owner will ever make. Most owners will have this opportunity to benefit both financially and personally from all the years invested in the business only once. Clearly, well-defined options and decisions, based on facts, are essential to ensure the most rewarding results.
Financial Strategy & Financial Options
Thousands of businesses change ownership each year and, although the reasons for selling may vary, the goal of the seller always remains the same: to maximize proceeds from the sale. A significant element in selling a business is the tax ramifications. A properly negotiated agreement can result in a substantially stronger net after-tax return.
Recasting financial statements is a key to successful negotiating
As CPAs, we are experienced in identifying and justifying earnings adjustments. Therefore, not only can we assist in identifying potential adjustments, but also in negotiating and explaining them to a potential buyer.
Business Counsel, Expansion, and Turn Around
Profitability analysis, alternative evaluation, capital sourcing, and planning are fundamental for a business to succeed. The MCS Group’s proficiency in applying these tools assists in identifying the clients' options. We assist business owners in determining the profitability of potential expansions, identifying financial problems, and determining the best solutions.
Click the appropriate links below to download and/or open the brochure. Clicking the cover graphic will open the brochure in your browser, if you have the free Adobe Acrobat browser plug-in. Each of the other links will download a compressed PDF file to your computer, and you can open it there, after decompressing it with StuffIt, WinZip, etc.
To rotate some PDF files for viewing after they've opened in Acrobat Reader, it may be necessary to go to Menu/View/Rotate CW.
The brochure is best viewed at 1024 x 768 monitor resolution.
If you have the Acrobat plug-in installed in your browser, the brochure will open within your browser window (the speed will depend on your connection, so please be patient). If so, you may need to adjust the window, using the magnifying glass tool to enlarge or minimize the document to a desired size.
Other Viewing Tips
PCs
On some older PCs, it may take a while for the file to open. Be patient, and you'll eventually be presented with the dialog screen as to whether you want to save the file to disk or open it immediately.
To properly view this and other PDF files, the color settings on your monitor must be at least High Color (16-Bit). To view/change your settings, right click on the desktop and select Properties in the dialog window (or open the Displays control panel, via Settings in the Start menu). Then, select the Settings tab in the Display Properties window. Then, select High Color (16-Bit) in the Colors box. Click the Apply button, then the OK button. You're done.
To change the resolution of your monitor, slide the Screen area bar for less or more, click apply, and see if you like the new setting. A screen will open that will ask if you want to keep the new setting. The higher the resolution, the more screen real estate you'll have. Higher resolutions are a bit strange at first, but preferable after you become used to them. A resolution of 1024 x 768 is a good setting.
MACs
If you're going to view this on a Mac (OS 9.2.2 and below) and want to change the monitor settings, select the Monitors control panel (or access it from the Control Strip, where you can also make resolution changes). Select thousands or millions of colors and set your resolution. In Mac OS X, choose System Preferences --> Displays.
